The Producer wishes to obtain the right to use the Artwork for a film/programme/project the name of which you set out in your application (the “Production”).

(the “Artwork”) means the Artwork being licensed.

(“in all Media”) means the right to use all or any part of the Artwork in the Production in all languages for filming, promoting, exhibiting, transmitting, distributing, broadcasting and exploiting online, television, film and in any and all media, in perpetuity now known or herein invented or developed throughout the universe.

(the “Rights”) means the right in and to the Artwork, including any trademarks, copyright protection, third party rights and any form of protection granted to the Artwork or to be granted.

1. In consideration of the agreed fee payable on receipt of the Artwork and signature of this agreement, TBR grants to the Producer a worldwide, royalty free, irrevocable, exclusive licence for the use of the Artwork in the Production in all Media without any further payment being due for the period agreed by TBR and thereafter on a non-exclusive basis in perpetuity. The Rights are only granted if full payment is received and Producer warrants that it shall comply with the terms of this licence.

2. TBR permits the Producer to record, copy, cut, edit, dub and subtitle the Artwork in connection with the production, exploitation, promotion and/or advertising of the Production by all means and in all Media throughout the universe. This licence does not extend to further seasons, prequels, sequels or spin-offs which must be licensed separately.

3. TBR confirms it controls the Rights in and to the Artwork and has the legal capacity and the power and authority to enter into this licence and is able to grant the rights provided for herein. TBR warrants that the exercise of such rights will not infringe the copyright or any other personal rights, consents, or property rights of any; or entitle any person to claim any payment from the Producer or from any of the Producer’s licensees.

4. TBR understands and acknowledges the Producer is not obliged to use the Artwork in the Production.

5. The Producer shall be entitled to sub-licence and assign the benefit and rights granted herein to any other third party, subsidiary or associated Producer or affiliated party as required to exploit the Production, notwithstanding the Producer shall remain liable to TBR for its obligations under this licence.

6. To the extent that the Artwork depicts any identifiable individual(s), TBR warrants that it has complied with its obligations to those individuals under the General Data Protection Regulation.

7. If Producer has opted for Market Freeze for 3, 6, 9 or 12 months. The Producer shall be entitled to worldwide exclusivity for such period and thereafter on a non-exclusive basis in perpetuity.

8. Producer agrees to indemnify TBR against all and any costs, claims, expenses and liabilities (including, without limitation, legal fees and any sums paid on the advice of counsel) resulting from Producer’s breach of any of the above warranties.

9. This licence constitutes the entire agreement between TBR and the Producer and supersedes all prior discussions and negotiations.

This licence shall be governed by and interpreted in accordance with the laws of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
